Operator and contact

Adaivo Music is operated by Adaivo, a sole proprietorship in Ontario, Canada. Contact: info@music.adaivo.ai.

Acceptance and eligibility

By using Adaivo Music, you agree to these Terms. You must be at least 13. If you are below the age of majority where you live, a parent or legal guardian must consent and supervise your use. Do not use the service if you cannot lawfully agree.

Accounts and security

Provide accurate information, protect credentials and devices, and promptly report suspected unauthorized access. You are responsible for activity under your account except where law provides otherwise.

Limited personal license

Subject to these Terms and your current entitlement, Adaivo grants a limited, revocable, non-exclusive, non-transferable license to listen personally and noncommercially, including authorized offline listening inside the app. No ownership transfers.

You may not resell, redistribute, publicly perform, re-upload, broadcast, sublicense, circumvent access or technical controls, scrape or bulk extract the service, use content or service output for model training, or extract tracks, stems, clips, or sounds into a sample library. You may not use the service unlawfully or interfere with it.

Subscriptions, billing and stores

Apple App Store or Google Play processes purchases. Subscription price, currency, billing period, taxes, any trial, and renewal terms appear in the store before purchase. Subscriptions automatically renew unless cancelled through the applicable store before its renewal deadline. Manage cancellation in that store. Refund eligibility and processing follow the store's rules and mandatory law. Prices or trials may change prospectively with notice required by the store or law.

Deleting an Adaivo account does not cancel an Apple or Google subscription. Backend verification of store receipts or transactions controls entitlement; device displays are not authoritative.

Catalog and availability

Tracks, playlists, features, devices, and offline availability may change or be removed. Adaivo does not promise permanent catalog availability. Offline access may require periodic entitlement verification.

Intellectual property

Adaivo retains its rights in Adaivo-authored software, legal text, branding, selection, arrangement, and service materials. Third-party materials remain subject to their respective rights and notices. These Terms do not claim ownership that Adaivo does not hold.

Service changes, suspension and termination

Adaivo may change, suspend, or discontinue the service and may restrict or terminate access for material breach, fraud, security risk, legal obligation, or service protection. Where reasonably possible and legally required, Adaivo will provide notice and an opportunity to address the issue. You may stop using the service at any time.

Disclaimers

To the maximum extent permitted by law, the service is provided “as is” and “as available.” Adaivo does not warrant uninterrupted, error-free, permanently available, or loss-free operation. Nothing excludes warranties or remedies that cannot lawfully be excluded.

Limitation of liability

To the maximum extent permitted by law, Adaivo is not liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from the service. Any aggregate liability is limited to the amount you paid Adaivo for the service in the 12 months before the event, or CAD $100 if greater. These limits do not apply where prohibited, including liability that cannot be limited for fraud, wilful misconduct, death, personal injury, or mandatory consumer rights.

Indemnity

To the extent enforceable by law, you will indemnify Adaivo against third-party claims, losses, and reasonable costs arising from your unlawful use, your content, or your material breach of these Terms. This does not apply to the extent caused by Adaivo and does not limit non-waivable rights.

Governing law and consumer rights

Ontario law and applicable Canadian federal law govern, without regard to conflict rules. Courts in Toronto, Ontario have non-exclusive jurisdiction. Mandatory consumer protections and rights in your home jurisdiction remain preserved.

Changes

Adaivo may update these Terms. The release and effective date identify the version. Material changes will be communicated as required by law; continued use after effectiveness constitutes acceptance where lawful.

Severability and entire agreement

If a provision is unenforceable, it is adjusted or severed only as necessary; the remainder continues. These Terms, the Privacy Policy, and purchase terms shown by the applicable store are the entire agreement about the service, except mandatory law.
